PRIVACY POLICIES

DealerMarkets, LLC ("DealerMarkets," "we," "us," or "our") operates DealerMarkets.com and related applications, tools, and services (collectively, the "Platform"), an online marketplace and training platform that connects finance and insurance ("F&I") product providers with automotive, RV, powersports, motorcycle, and marine dealerships. This Privacy Policy explains how we collect, use, disclose, and safeguard information when you visit or use the Platform, including as a dealer, dealership employee, F&I product provider, or other authorized user ("you" or "User").

By accessing or using the Platform, you agree to the collection and use of information in accordance with this Privacy Policy. If you do not agree with this Policy, please do not use the Platform.

1. Information We Collect
 

1.1 Information You Provide to Us

  • Account and Contact Information: name, business email address, mobile phone number, job title/role (e.g., Dealer Principal, GM, F&I Manager, provider representative), and login credentials.

  • Dealership Business Information: dealership name, physical address, dealer license/ID number, franchise or rooftop affiliation, and staff roles and permissions associated with your dealership account.

  • Provider/Vendor Business Information: company name, product menus, rate sheets, contract and agreement details, markup structures, and other business information submitted by F&I product providers using the Platform.

  • Communications: information you provide when you contact us for support, submit a form, or otherwise communicate with us.
     

1.2 Information We Collect Automatically

  • Usage and Analytics Data: pages viewed, features used, click and navigation activity, session duration, referring/exit pages, device and browser type, IP address, and similar technical and behavioral data collected through analytics tools as you interact with the Platform.

  • Cookies and Similar Technologies: we and our service providers use cookies and similar technologies to operate the Platform, remember preferences, and understand how the Platform is used. You can control cookies through your browser settings; disabling cookies may limit some functionality.
     

1.3 Information Related to SMS/Text Messaging (One-Time Passcode Login)

If you enroll in or use our SMS-based one-time passcode ("OTP") login feature, we collect your mobile phone number and related consent/opt-in information solely to send you a one-time authentication code so you can securely sign in to the Platform. We do not use this SMS program to send marketing or promotional messages.
 

2. How We Use Information

We use the information we collect to:

  • Create, maintain, and secure your account, and authenticate your identity, including via SMS one-time passcodes;

  • Operate, maintain, and improve the Platform's marketplace, matching, enrollment, and training functionality;

  • Facilitate connections and transactions between dealerships and F&I product providers;

  • Communicate with you about your account, transactions, updates, and support requests;

  • Monitor, analyze, and improve Platform usage, performance, and user experience;

  • Detect, investigate, and prevent fraud, abuse, and security incidents; and

  • Comply with applicable legal, regulatory, and contractual obligations.
     

3. How We Share Information

We do not sell your personal information. We may share information as follows:

  • Between Dealerships and Providers (Required to Deliver the Service): the Platform's core function is to connect dealerships with F&I product providers so dealerships can enroll in and sell F&I products. To do this, we share dealership and dealership-personnel information (such as dealership name, address, dealer license/ID, and staff contact information) with the F&I product provider(s) a dealership chooses to work with. This information is used by the provider to set up the applicable product(s) and to prepare and finalize econtracting and enrollment agreements directly between the dealership and the provider. Similarly, provider product, rate, and program information is made available to dealerships evaluating or enrolling in that provider's products. This sharing is necessary to provide the marketplace service you and your dealership have requested, and providers are contractually restricted from using this information for any purpose unrelated to the product setup, econtracting, and enrollment you initiated.

  • Service Providers: we share information with vendors and subcontractors who perform services on our behalf, such as cloud hosting, analytics, customer support, and text messaging/SMS delivery, solely to support the operation of the Platform. These service providers are contractually restricted from using your information for any purpose other than providing services to us.

  • Legal and Safety: we may disclose information if required by law, regulation, legal process, or governmental request, or to protect the rights, property, or safety of DealerMarkets, our Users, or others.

  • Business Transfers: information may be transferred in connection with a merger, acquisition, financing, or sale of all or a portion of our business, subject to standard confidentiality protections.
     

3.1 SMS/Text Messaging Consent Is Never Shared for Marketing

No mobile information obtained through the SMS/OTP login program will be shared with third parties or affiliates for marketing or promotional purposes, at any time. This includes all categories of information described in this Policy — text messaging originator opt-in data and consent will not be shared with any third party for marketing or promotional purposes. Sharing with subcontractors that support the delivery of the SMS service itself (e.g., our SMS gateway provider) is permitted solely for that support purpose. All other use case categories are excluded from sharing.
 

4. Data Retention

We retain personal information only for as long as reasonably necessary for the purposes described in this Policy, and we determine retention periods based on the following criteria:

  • Account and Dealership/Provider Business Information: retained for as long as your account is active, and for a reasonable period afterward to support recordkeeping, dispute resolution, and legal or contractual obligations related to econtracting and enrollment records.

  • Usage and Analytics Data: retained for a limited period sufficient to analyze trends and improve the Platform, after which it is deleted or aggregated/de-identified.

  • SMS/OTP Data: retained only as long as needed to operate the authentication feature and to demonstrate opt-in/opt-out consent as required by telecommunications regulations.

  • Communications: retained for a reasonable period to support customer service history and quality review.

When information is no longer needed for these purposes, we take reasonable steps to delete or de-identify it.
 

5. Your Privacy Rights (California and Other States)

Depending on your state of residence, you may have rights regarding your personal information under laws such as the California Consumer Privacy Act, as amended by the California Privacy Rights Act ("CCPA/CPRA"), and similar laws in other states (e.g., Colorado, Connecticut, Virginia, Utah). We extend the core rights described in this Section to all Users as a matter of policy, regardless of your state of residence or whether DealerMarkets is required to comply with a particular law based on its applicability thresholds. Subject to certain exceptions, these rights may include the right to:

  • Know or access the categories and specific pieces of personal information we have collected about you, the categories of sources, and the business purpose for collecting it;

  • Correct inaccurate personal information;

  • Delete personal information we have collected from you;

  • Opt out of the sale or sharing of personal information (see Section 5.1);

  • Limit the use and disclosure of sensitive personal information (see Section 5.2); and

  • Not receive discriminatory treatment for exercising these rights.

To exercise these rights, you may email us at operations@dealermarkets.com, or submit a request through the support/contact option available within your Platform account. We will verify your request consistent with applicable law and respond within the timeframe required by law (generally within 45 days, extendable as permitted). You may designate an authorized agent to submit a request on your behalf, subject to verification.
 

5.1 We Do Not Sell or Share Personal Information for Advertising

We do not sell personal information, and we do not share personal information for cross-context behavioral advertising, as those terms are defined under applicable state privacy laws. The disclosures described in Section 3 between dealerships and F&I product providers are made to fulfill the marketplace, enrollment, and econtracting service you and your dealership requested — not for advertising, and not to a data broker — and do not constitute a "sale" or "share" under these laws. Because we do not sell or share personal information for advertising purposes, no "Do Not Sell or Share My Personal Information" opt-out link is required; if this changes, we will update this Policy and provide the required opt-out mechanism.
 

5.2 Sensitive Personal Information

We do not collect Social Security numbers, driver's license or state ID numbers, passport numbers, financial account login credentials, precise geolocation, or other categories defined as "sensitive personal information" under the CCPA/CPRA. Dealership license/ID numbers we collect are business licensing identifiers (not an individual government ID) and are used solely to verify and administer a dealership's account and provider enrollments. If our practices change such that we collect sensitive personal information beyond what is described here, we will update this Policy and provide the required notice and opt-out mechanism.
 

5.3 Automated Decision-Making

We do not currently use automated decision-making technology to make decisions that produce legal or similarly significant effects concerning you (for example, decisions about product eligibility, approval, or pricing) without meaningful human review. If this changes, we will update this Policy and provide any required notice and opt-out rights.
 

5.4 SMS/OTP Opt-Out

You may opt out of the SMS/OTP program at any time by replying STOP to any message, or by contacting us at operations@dealermarkets.com. Opting out of SMS login will not affect your ability to access the Platform through alternative login methods, where available.
 

6. Data Security

We use administrative, technical, and physical safeguards designed to protect the information we collect. No method of transmission or storage is completely secure, and we cannot guarantee absolute security.
 

7. Where We Operate; Aggregate and De-Identified Data

We are based in the United States, and information we collect is processed and stored in the United States. If you access the Platform from outside the United States, you understand that your information will be transferred to, processed, and stored in the United States, which may have data protection laws different from those of your jurisdiction.
 

We may create aggregated or de-identified information from personal information we collect, and we may use and disclose such aggregated or de-identified information for any business purpose, as permitted by applicable law.
 

8. Do Not Track

Some browsers offer a "Do Not Track" signal. Because there is no common industry standard for responding to such signals, the Platform does not currently respond to Do Not Track signals.
 

9. Children's Privacy

The Platform is intended for business use by adult dealership and provider personnel and is not directed to, and does not knowingly collect personal information from, individuals under 18 years of age. If we learn we have collected information from a minor, we will take steps to delete it.
 

10. Third-Party Links and Services

The Platform may contain links to, or integrate with, third-party websites, applications, or services (including those operated by F&I product providers or dealership systems). This Policy does not apply to those third parties, and we are not responsible for their privacy practices. We encourage you to review the privacy policies of any third-party site or service before providing it with information.
 

11. Changes to This Policy

We may update this Privacy Policy from time to time. We will post the revised Policy on this page with an updated Effective Date. Material changes will be indicated by a revised Effective Date, and, where required by law, we will provide additional notice. Your continued use of the Platform after changes become effective constitutes your acceptance of the revised Policy.

TERMS OF USE

These Terms of Use ("Terms") govern access to and use of DealerMarkets.com and related applications, tools, and services (collectively, the "Platform"), operated by DealerMarkets, LLC ("DealerMarkets," "we," "us," or "our"). The Platform is an online marketplace and training platform connecting finance and insurance ("F&I") product providers with automotive, RV, powersports, motorcycle, and marine dealerships.

By creating an account or otherwise accessing or using the Platform, you ("you," "User," or "Customer") agree to be bound by these Terms. If you are accessing the Platform on behalf of a dealership, provider, or other organization, you represent that you have authority to bind that organization to these Terms.

1. Eligibility and Accounts

The Platform is intended for use by authorized business personnel of dealerships and F&I product providers, and their designated agents. You must be at least 18 years old and able to form a binding contract to use the Platform. You must provide accurate registration information and are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account.
 

2. Description of Service

DealerMarkets provides a marketplace and related tools that allow F&I product providers to list and make available their products, and allow dealerships to discover, evaluate, enroll in, and manage those products, along with related training and account management functionality.

DealerMarkets is a marketplace facilitator, not a party to the underlying agreements between dealerships and providers. We do not manufacture, underwrite, warrant, or guarantee any F&I product listed or transacted on the Platform, and we are not responsible for the performance, terms, pricing, or suitability of any product offered by a provider.
 

3. SMS / Text Messaging Terms (One-Time Passcode Login)

DealerMarkets offers an optional SMS-based one-time passcode ("OTP") login feature to help you securely access your account.

  • Consent: By opting in to SMS login (e.g., by entering your mobile number and confirming enrollment), you consent to receive automated text messages containing one-time authentication codes from or on behalf of DealerMarkets at the mobile number provided.

  • Program Description: This program is limited to account authentication codes. It is not used to send marketing, promotional, or advertising messages.

  • Message Frequency: Message frequency varies based on your login activity.

  • Message and Data Rates: Message and data rates may apply, depending on your mobile carrier and plan.

  • Opt-Out: Reply STOP at any time to a DealerMarkets text message to opt out of SMS login. Reply HELP for assistance, or contact us at operations@dealermarkets.com.

  • Carrier Liability: Carriers are not liable for delayed or undelivered messages. We do not guarantee delivery of SMS messages and are not responsible for issues caused by your carrier or device.

Consent to receive SMS messages is not a condition of using the Platform; alternative login methods may be available.

 

4. Acceptable Use

You agree not to: (a) use the Platform for any unlawful purpose or in violation of these Terms; (b) misrepresent your identity or authority; (c) upload or submit false, misleading, or inaccurate product, pricing, or business information; (d) interfere with or disrupt the integrity or performance of the Platform; (e) attempt to gain unauthorized access to the Platform or related systems; or (f) use automated means to scrape, extract, or harvest data from the Platform without our prior written consent.


5. Marketplace Content and Transactions

Providers are solely responsible for the accuracy of the product information, pricing, rates, and terms they submit to the Platform. Dealerships are solely responsible for their evaluation, selection, and enrollment decisions regarding F&I products offered through the Platform. Any agreement to purchase, sell, enroll in, or distribute an F&I product is between the dealership and the applicable provider, subject to that provider's own terms and conditions, and DealerMarkets is not a party to, and assumes no liability under, that agreement.

By using the Platform to evaluate or enroll in a provider's F&I products, you authorize DealerMarkets to disclose the applicable dealership and staff information to that provider as necessary for the provider to set up the product and to prepare and finalize econtracting and enrollment agreements between the dealership and the provider, as further described in our Privacy Policy.


6. User-Submitted Content License

If you submit or upload content to the Platform (such as product menus, rate sheets, dealership information, logos, or training materials), you grant DealerMarkets a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display that content solely as necessary to operate and provide the Platform to you and other authorized Users. You represent that you have the necessary rights to submit that content and that it does not infringe any third party's rights.
 

7. Intellectual Property

The Platform, including its software, design, text, graphics, and other content (excluding User-submitted content), is owned by DealerMarkets or its licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business purposes.


8. Third-Party Links and Services

The Platform may link to, or integrate with, third-party websites, systems, or services (for example, dealer management systems or provider portals). We do not control and are not responsible for the content, policies, or practices of any third-party site or service. Your use of any third-party site or service is subject to that third party's own terms.
 

9. Fees

Certain features of the Platform may be subject to fees as separately disclosed to you or set forth in an applicable order form or provider agreement. Fees, if any, are non-refundable except as expressly stated or required by law.
 

10. Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

 

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEALERMARKETS AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE AMOUNT YOU PAID TO DEALERMARKETS, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.


12. Indemnification

You agree to defend, indemnify, and hold harmless DealerMarkets and its officers, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Platform, your breach of these Terms, or the information or content you submit to the Platform.
 

13. Copyright Complaints (DMCA)

If you believe content on the Platform infringes your copyright, please send a written notice to operations@dealermarkets.com that includes: (a) a description of the copyrighted work claimed to be infringed; (b) a description and location (e.g., URL) of the material you claim is infringing; (c) your contact information; (d) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; and (e) a statement, under penalty of perjury, that the notice is accurate and that you are authorized to act on behalf of the copyright owner. We will review valid notices and take appropriate action consistent with the Digital Millennium Copyright Act.

 

14. Modifications to the Platform

We may add, change, suspend, or discontinue any feature of the Platform at any time. We will use reasonable efforts to provide notice of material changes affecting core functionality, but we are not obligated to maintain any particular feature.

 

15. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause or notice, including for violation of these Terms. You may stop using the Platform at any time. Sections of these Terms that by their nature should survive termination will survive.

 

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws principles.

 

16.1 Binding Arbitration

Except for claims for injunctive or equitable relief or claims regarding intellectual property rights, any dispute arising out of or relating to these Terms or the Platform will be resolved by binding, individual arbitration administered under the rules of a mutually agreed arbitration organization (such as the American Arbitration Association), rather than in court, except that either party may bring an individual action in small claims court.

 

16.2 Class Action Waiver

YOU AND DEALERMARKETS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

 

17. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy and any applicable order form or provider agreement, constitute the entire agreement between you and DealerMarkets regarding the Platform, and supersede any prior agreements on that subject.

  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

  • Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

  • Force Majeure: We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, telecommunications or utility failures, or governmental action.

  • Notices: We may provide notices to you via email, through the Platform, or by other reasonable means. Notices to us should be sent to the contact information in Section 18.

  • No Third-Party Beneficiaries: These Terms do not create any rights for any person or entity other than you and DealerMarkets.

 

18. Changes to These Terms

We may modify these Terms from time to time. We will post the revised Terms on this page with an updated Effective Date. Your continued use of the Platform after changes become effective constitutes your acceptance of the revised Terms.
